These Terms of Service (“Agreement”) govern your relationship with 
Recipe Corp (“Recipe,” “we,” “our,” or “us”) and your use of our websites, software, and services (collectively, the “Services”). By using our Services, you agree to these terms in full. If you do not agree, you may not use our Services.
1. Scope of Services
Recipe Corp provides technology, marketing, and commerce solutions for restaurants, bars, cafes, and hospitality businesses. Our Services may include, but are not limited to:
- Website design and hosting
- Online ordering and e-commerce
- Payment processing and point-of-sale integrations
- CRM, marketing, and loyalty tools
- Analytics and support services
Hosting and infrastructure are provided via trusted third-party providers under enterprise-grade cloud environments, ensuring high availability and security.
2. Payment Terms
- Services are billed month-to-month unless otherwise stated.
- Clients may cancel at any time with 30 days’ written notice.
- If your setup fee was waived, no refunds are available after launch.
- Payments are processed via our Finix Payments partnership and may include third-party processors as required for compliance and reliability.
- All charges are in U.S. dollars unless specified otherwise.
- Late payments may incur suspension of service until the balance is cleared.
3. Refunds and Cancellations
Setup fees (if charged) are refundable only prior to project kickoff.
Ongoing service payments are non-refundable once services have been delivered or billing cycles have commenced.
Clients may cancel at any time with 30 days’ notice. Cancellations take effect at the end of the current billing period.
4. Client Responsibilities
Clients agree to:
- Provide accurate, up-to-date business information.
- Ensure all submitted content (text, images, menus, pricing, etc.) is lawful and owned by them.
- Maintain compliance with applicable laws regarding food, alcohol, and commerce.
- Review their site, menu, and configurations before going live.
Recipe is not responsible for content errors, inaccurate pricing, or customer disputes arising from client-provided materials.
5. Hosting and Uptime
Our websites and services are hosted through reputable third-party providers offering industry-standard reliability (99% uptime) and data redundancy.
Recipe will use commercially reasonable efforts to maintain continuous operation but cannot guarantee uninterrupted service due to maintenance, provider outages, or external events.
6. Payment Processing
Recipe facilitates payment processing through Finix Payments, a trusted and compliant financial partner.
By using Recipe’s payment services, you agree to comply with applicable Finix and network rules (Visa, Mastercard, etc.).
All funds flow directly to or through Recipe’s payment infrastructure and are subject to standard processing fees. Recipe may retain a portion of processing revenue as permitted under partnership agreements.
You authorize Recipe and its payment partners to act as your agent for limited purposes related to transaction facilitation, refunds, and compliance review.
7. Data Ownership and Privacy
- Client Data: You own your customer data, menu content, and business information.
- Recipe Data: Recipe retains rights to its platform, code, templates, widgets, integrations, and system-generated analytics.
- Shared Data: Clients acknowledge that Recipe may collect and share anonymized metrics for performance monitoring, improvement, and compliance.
- Recipe follows industry-standard data protection practices and does not sell customer data to third parties.

8. Intellectual Property
All materials developed by Recipe (including designs, code, integrations, automations, and widgets) remain the intellectual property of Recipe Corp unless explicitly transferred by written agreement.
Clients receive a 
license to use these materials for the duration of their active account.
9. Service Modifications
Recipe may update or modify its Services periodically to improve performance, comply with regulations, or enhance functionality.
Any material changes affecting pricing or contract terms will be communicated in writing at least 
30 days in advance.
10. Limitation of Liability
To the fullest extent permitted by law:
- Recipe shall not be liable for indirect, incidental, or consequential damages.
- Recipe is not responsible for outages, data loss, or service interruptions caused by third-party hosts, internet providers, or payment gateways.
- Total liability for any claim shall not exceed the amount paid by the client in the preceding 
three (3) months.
11. Indemnification
You agree to indemnify and hold harmless Recipe, its affiliates, officers, employees, and partners (including Finix) from any claims, losses, or damages arising out of your:
- Misuse of the Services
- Violation of laws or regulations
- Breach of this Agreement
12. Termination
Recipe may suspend or terminate access for non-payment, abuse, or unlawful conduct.
Upon termination, all outstanding balances become immediately due.
Recipe may retain non-personal data for audit and compliance purposes.
13. Dispute Resolution
Any disputes shall first be addressed informally between the parties.
If unresolved, disputes shall be submitted to binding arbitration in New York County, NY, under the rules of the American Arbitration Association.
Either party may seek relief in 
small claims court for eligible matters.
14. Governing Law
This Agreement is governed by the laws of the State of New York, without regard to conflict of law principles.
15. Entire Agreement
This Agreement, along with any referenced documents (e.g., Privacy Policy, Payment Terms), constitutes the entire understanding between you and Recipe Corp. No waiver or amendment is valid unless made in writing by both parties.
